The agreement that governs your use of the CareLedger platform and Services.

1. Introduction
Welcome to CareLedger.
CareLedger is a web-based application accessible via www.careledger.com.au and through mobile applications available on Android and iOS (together, the Platform).
The Platform is operated by CareLedger Pty Ltd (ABN: 44 280 421 1850) (we, us, our). These Terms and Conditions (Terms) govern your access to and use of the Platform and all related software, features, and services provided by CareLedger (collectively, the Services).
By accessing, browsing, registering for, or using the Platform or Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Platform and Services.
2. Acceptance of the terms
You accept these Terms by:
- remaining on the Platform;
- creating or maintaining an account; or
- clicking "Accept", "Agree", or a similar confirmation where presented.
3. Services we provide
3.1 CareLedger software
CareLedger is a digital documentation and record-keeping platform designed primarily for NDIS service providers and support workers. The Services assist users to store, organise, and manage documentation in alignment with applicable Australian health, privacy, and industry standards.
CareLedger does not provide medical, clinical, legal, regulatory, or compliance advice. You are solely responsible for ensuring your records, practices, and services comply with all applicable NDIS requirements, professional obligations, and laws.
3.2 Account types
We may offer the following account types:
- Basic
- Starter
- Premium
- Enterprise
- Individual Starter Pack
Features, pricing, availability, and inclusions may change from time to time. Certain account types may be subject to additional terms and conditions, which must be accepted prior to access. These Terms apply unless expressly varied by any account-specific terms.
4. User registration and responsibilities
By registering for an account, you represent and warrant that:
- all information you provide is true, accurate, current, and complete;
- you will keep your information up to date;
- your account is personal and non-transferable; and
- you are solely responsible for all activity conducted under your login credentials.
You must:
- keep your username and password secure;
- immediately notify us of any unauthorised access, suspected breach, or security issue;
- comply with all applicable laws and any policies or guidelines published by CareLedger.
Prohibited conduct
You must not:
- attempt to gain unauthorised access to any systems, accounts, or data;
- impersonate another person or entity or provide false or misleading information;
- interfere with, disrupt, or compromise the integrity or performance of the Platform;
- use the Services for unlawful, fraudulent, offensive, or infringing purposes;
- copy, modify, distribute, sell, sublicense, or exploit any part of the Platform except as expressly permitted under these Terms.
5. Our responsibilities
5.1 Standard of service
We will:
- provide the Services with reasonable skill, care, and diligence; and
- take reasonable steps to maintain availability of the Platform.
We do not guarantee uninterrupted, secure, or error-free access. We are not liable for interruptions, delays, or failures caused by:
- scheduled or emergency maintenance;
- third-party service providers; or
- events beyond our reasonable control.
6. Subscriptions
6.1 Subscription requirement
Access to the Services requires the purchase of an active subscription (Subscription) and payment of applicable fees (Subscription Fees).
6.2 User responsibility
You are responsible for selecting a Subscription that is appropriate for your needs. We do not guarantee that any Subscription will meet specific regulatory, operational, or business requirements.
6.3 Eligibility
To use the Services, you must create an account and provide required personal and payment information. You must not use the Services if:
- you are under the legal age to form a binding contract; or
- you are prohibited under Australian law from receiving the Services.
7. Payments
- Subscription Fees must be paid using the payment methods available on the Platform.
- Fees may be updated from time to time; any changes will apply only after the end of your current billing period.
- Payments may be processed by third-party payment providers. We are not responsible for their acts or omissions.
- You are responsible for any failed, reversed, or disputed payments and any associated fees.
8. Refund policy
Except as required by law, all payments are non-refundable.
You may cancel your Subscription at any time. Upon cancellation:
- no further charges will apply after the current billing period;
- access to the Services will continue until the end of the paid period; and
- any outstanding fees become immediately payable.
9. Information storage and privacy
By using the Services, you may provide personal, sensitive, or confidential information.
We are committed to protecting your information and apply reasonable administrative, technical, and physical safeguards. Our Privacy Policy forms part of these Terms.
You agree to maintain the confidentiality of any information you access relating to CareLedger or other users.
10. Data ownership and hosting
You retain ownership of all data and content you upload to the Platform.
By using the Services, you grant us a limited, non-exclusive licence to host, store, process, back up, and display your data solely for the purpose of providing and improving the Services.
Data may be stored on secure third-party servers located in Australia or overseas. By using the Services, you consent to such storage and processing in accordance with our Privacy Policy.
11. Termination
11.1 Termination by us and you
Your right to use the Services continues until terminated.
We may suspend or terminate your access immediately if:
- you breach these Terms; or
- our commercial arrangements with a partner organisation end.
You may terminate your account at any time by closing it through the Platform or by contacting us.
12. Limitation of liability
To the maximum extent permitted by law:
- we are not liable for misuse of the Platform or Services;
- we exclude all liability for indirect, consequential, or economic loss, including loss of profits, data, business, or reputation; and
- our total aggregate liability is limited to the Subscription Fees paid by you in the 12 months preceding the event giving rise to the claim.
13. Australian Consumer Law
Nothing in these Terms excludes or limits any rights or remedies available under the Australian Consumer Law that cannot be lawfully excluded. Where permitted, our liability is limited to repair, replacement, or resupply of the Services.
14. Changes to these terms
We recommend that you review these Terms periodically. We may update these Terms from time to time. Continued use of the Platform or Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must discontinue use and close your account.
15. Governing law and jurisdiction
These Terms are governed by the laws of Tasmania, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Tasmania.
16. Independent legal advice
Each party confirms that it has had the opportunity to obtain independent legal advice and agrees that these Terms are fair and reasonable.
17. Intellectual property
All intellectual property rights in the Platform, including software, source code, designs, logos, text, graphics, and functionality, are owned by or licensed to CareLedger. Nothing in these Terms grants you any ownership rights. You may use the Platform only as expressly permitted under these Terms.
18. Indemnity
You agree to indemnify and hold harmless CareLedger, its directors, officers, employees, and contractors from any claims, losses, damages, liabilities, and expenses arising out of or related to:
- your use or misuse of the Services;
- your breach of these Terms; or
- your violation of any law or third-party rights.
19. Force majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of government, internet outages, cyber incidents, or failures of third-party service providers.
20. App store and platform terms
If you access the Services via the Apple App Store or Google Play Store, you acknowledge that:
- these Terms are between you and CareLedger, not Apple or Google;
- Apple and Google have no responsibility for the Services or content;
- your use must comply with applicable app store terms of service.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
